Contract Law

Getting your contracts right is a fundamental requirement for success in business.

At Darlingtons, we understand that businesses, especially start ups and small businesses, often see legal advice as of little tangible benefit and considerable expense. However, the better way to look at it is, what are the consequences of not having the right business contracts? These include potential inability to pursue debts owed to your business, litigation, possible cashflow issues or even being sued.

Our approach is to strike a balance between understanding a client's need for cost efficiency and proportionality whilst also taking into account that every business is different, every sector is different and one size does not fit all for business contracts and can be a very danmgerous approach.

We use our experience and sizeable libraray of contract templates for each client’s bespoke needs. We can help with any type of business contract, whether employment contracts, terms and conditions or any other type of commercial contract or agreement.

What are the basics of a contractual relationship?

In order to form a contract, the essential elements are:

  1. offer
  2. acceptance
  3. consideration, which is a promise, an act, or a promise not to act and represents the value in the contract
  4. capacity i.e not bankrupt and an adult
  5. intention to create legal relations
